Aequitas is a securitisation vehicle established under Luxembourg law, available exclusively to professional and sophisticated investors as defined under MiFID II Directive 2014/65/EU.

Who qualifies?

Category A — Automatically qualify

Per Se Professional Clients

Entities that qualify by nature of their regulatory authorisation or business type.

Credit institutions and investment firms authorised under EU law
Insurance and reinsurance undertakings
Collective investment undertakings and their management companies
Pension funds and their management companies
National and regional governments managing public debt
Central banks and supranational institutions (IMF, ECB, World Bank, EIB)
Other institutional investors whose principal activity is investment in financial instruments
Category B — Opt-up

Elective Professional Clients

Individuals or smaller companies that may opt up to professional status by meeting the criteria below.

Meets at least two of: balance sheet ≥ €20m, net turnover ≥ €40m, or own funds ≥ €2m

Portfolio of financial instruments (including cash deposits) exceeding €500,000

Why professional investors only?

Aequitas operates as a securitisation vehicle under the Luxembourg Securitisation Act of 22 March 2004 (as amended). The instruments we issue are characterised as complex products under MiFID II.

Offering these to retail investors would require a full EU Prospectus (Regulation 2017/1129) and extensive retail distribution approvals — a regulatory pathway incompatible with Aequitas's current structure.

Does Aequitas accept retail investors?
No. As a securitisation vehicle under Luxembourg law, Aequitas issues instruments characterised as complex products under MiFID II. Offering these to retail investors would require a full prospectus under EU Prospectus Regulation 2017/1129 and extensive retail distribution approvals. We exclusively serve professional and sophisticated investors.
Is Aequitas regulated?
Aequitas operates as a securitisation vehicle under the Luxembourg Securitisation Act of 22 March 2004 (as amended). Luxembourg is an EU member state with a mature financial regulatory environment supervised by the CSSF (Commission de Surveillance du Secteur Financier).
How do I confirm my eligibility?
During onboarding on our DigiShares investor platform you will complete a suitability and appropriateness assessment and provide documentation confirming your professional investor status. Our team reviews all applications individually before granting access to investment products.
What documents will I need to provide?
Typically: proof of identity (passport/ID), proof of address, evidence of professional investor status (e.g. portfolio statement, professional qualification, employment letter), and AML/KYC documentation as required under Luxembourg law.
